Terms of Service

1. Beta Program Designation

Sagework is currently offered as a beta / early access program by Exlo AI, Inc. ("Company," "we," "our," or "us"). The service is provided "as-is" for testing and feedback purposes. This is not a commercial product launch. By accessing or using Sagework during the beta period, you ("User," "you," or "your") agree to these Terms of Service.

If you do not agree to these terms, please do not use the service.

2. No Payment / Free Access

The Sagework beta program is provided free of charge. No fees are charged during the beta period. We do not collect credit card information, payment details, or any financial data from beta participants. There are no hidden costs or automatic charges associated with your participation.

3. Beta Period

The beta period runs until further notice. We reserve the right to:

• End the beta program at any time with reasonable advance notice
• Modify, add, or remove features during the beta period
• Transition to a paid service model with advance notice to all participants
• Limit the number of beta participants

4. Purpose of the Beta Program

The beta program exists to gather user feedback, test features, and improve Sagework before a broader release. As a beta participant, you are a design partner, not a paying customer. Your input directly shapes the product. We encourage you to share your experience, report issues, and suggest improvements.

5. Description of Service

Sagework is an AI-powered platform that helps engineering managers with performance reviews, 1:1 meeting preparation, recognition of invisible work (code reviews, mentoring, unblocking), bias detection in feedback patterns, and connecting daily activities to fair performance outcomes. The service integrates with tools such as GitHub, Jira, Slack, and Google Calendar.

Sagework is an AI assistant and is not a substitute for human judgment. Users are responsible for reviewing and validating all AI-generated recommendations and insights. We do not guarantee the accuracy of AI-generated content.

6. User Accounts

To access the beta, you may need to create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete information
• Notifying us immediately of any unauthorized use

7. No Service Level Agreement / No Warranty

The Sagework beta is provided without any service level agreement, uptime guarantee, or warranty of any kind, whether express or implied. We may modify, suspend, or discontinue any feature or the entire service at any time without prior notice.

You acknowledge that beta software may contain bugs, errors, and incomplete features. The service may experience downtime, data inconsistencies, or unexpected behavior. We will make reasonable efforts to maintain service availability, but we make no guarantees.

8. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the service
• Interfere with or disrupt the service or its infrastructure
• Upload malicious code or content
• Reverse engineer, decompile, or disassemble any part of the service
• Use the service in a way that could harm other users or their data
• Resell, sublicense, or redistribute access to the service

9. Data Handling

User data collected during the beta may be used to improve the product, analyze usage patterns, and enhance features. We will not sell your data to third parties. For details on how we collect, use, and protect your information, please refer to our Privacy Policy.

10. Feedback License

Any feedback, suggestions, ideas, bug reports, or other input you provide about Sagework ("Feedback") may be freely used by us to improve the product without any obligation or compensation to you. By submitting Feedback, you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use, modify, and incorporate such Feedback into the service or any future products.

11. Intellectual Property

The service and its original content, features, and functionality are owned by Exlo AI, Inc. and are protected by applicable copyright, trademark, and other intellectual property laws. Your data remains yours. We claim no ownership over the content you provide to or generate through the service.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Exlo AI, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, use, goodwill, or other intangible losses arising out of or related to your use of (or inability to use) the service.

Because the Sagework beta is provided free of charge, our total aggregate liability for any claims arising from your use of the service shall not exceed the amount you paid us, which is zero.

13. Transition to Paid Service

When the beta period ends, we may transition Sagework to a paid service. If this happens:

• You will be notified in advance with reasonable notice (at least 30 days)
• You will be given the option to subscribe to a paid plan or discontinue use
• No automatic charges will be applied. You will never be billed without explicitly opting in to a paid plan
• We may offer beta participants early access or discounted pricing as a thank-you for participation

14. Termination

Either party may end participation in the beta program at any time:

• You may stop using the service and request account deletion at any time by contacting us
• We may revoke your beta access at our discretion, with or without cause, and will make reasonable efforts to notify you in advance

Upon termination, your right to use the service ceases immediately. Sections that by their nature should survive termination (including limitation of liability, intellectual property, and feedback license) will survive.

15. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes by posting updated terms on this page and updating the effective date. Continued use of the service after changes are posted constitutes acceptance of the updated terms.

16. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
